Depending on the type of transaction (industrial acquisition or LBO-type acquisition) and its size and complexity, we form a dedicated team, adapted to the difficulties of the transaction and mobilise it accordingly. This team will be led by a partner, who will be the client's principal contact. It will include lawyers with knowledge and abilities in other areas (employment law or law relating to structured finance, for example) to support you in all the dimensions of your project.
In the early stages of the transaction, we will provide assistance in legal and tax structuring and will conduct legal, contractual, employment law, and tax audits.
We will assist clients in connection with negotiations :
- preparation of pre-contractual documents (confidentiality agreements, letters of intent, offers/bids),
- contractual documents (acquisition agreement, representations and warranties, shareholders’ agreement) and company law documents (notices of directors’ and shareholder meetings and minutes).
Furthermore, we will also assist clients in the structuring and implementation of financing for the transaction.
Finally, we will ensure a follow-up upon completion of a transaction, in particular to adapt or develop intercompany agreements or delegations of authority and ensure the proper performance of outstanding agreements and client's continuing obligations in connection with the transaction.
