Corporate decisions that can be overturned are fragile and a source of uncertainty. Their annulment may have far-reaching consequences and affect the smooth running of the company, or even be exploited by partners pursuing selfish interests.

There are, however, measures that can be taken to prevent a decision from being annulled even before the end of the limitation period, in particular confirmation and regularisation.
