The group has acquired a majority stake from Frédéric Serrano, former CEO and majority shareholder of Bernard Bois, who is reinvesting as part of the transaction. This strategic deal enables Cap Vert to secure the supply chain of a long-standing partner and to strengthen its Landscaping division with over 40 years of recognized expertise in wood products.
With a team of 40 skilled employees and annual revenue of €10 million, Bernard Bois brings the group unique technical expertise in the design, production, and installation of over 200 wood-based solutions, including decking, urban furniture, outdoor equipment, footbridges, chalets, pergolas, and fitness trails. Based in Fontainebleau with a production site in the Vosges region, the company primarily serves landscaping professionals, public works contractors, and local authorities.
The two companies had already been working together for several years, with Bernard Bois serving as a key supplier to Cap Vert as part of its environmental approach, which favors the use of wood products, preferably sourced in France.
This acquisition is part of Cap Vert Group’s ongoing sectoral and geographic growth strategy. The Group now brings together over 1,000 employees and generates €136 million in revenue. The deal secures a strategic supply source while enhancing the Landscaping division with recognized wood expertise, thereby strengthening the Group’s offering across the entire French territory. Bernard Bois will retain its operational autonomy while benefiting from Cap Vert’s national network to expand its presence beyond the Île-de-France region.
A multidisciplinary team from the law firm Cornet Vincent Ségurel, led by partner Pierre Lamidon, advised Cap Vert Group throughout this transformative transaction — from negotiations to completion — covering all legal, tax, and labor aspects of the deal.
