The Centigon Group designs, develops, manufactures, and maintains high-security armored vehicles and integrated protection solutions. In France, Centigon draws on specialized industrial capabilities to meet the needs of government clients, law enforcement agencies, the defense sector, the diplomatic corps, and private entities. The divested assets include companies and operations located primarily in France, Mexico, Colombia, Belgium, Ireland, and the United States.<\/p>\n\n\n\n

Based in Canada, the Roshel Group is one of North America\u2019s leading manufacturers of armored vehicles for government organizations and also serves public-sector and military customers worldwide.<\/p>\n\n\n\n

The Roshel group designs, develops, manufactures, supplies, and maintains high-tech vehicles for a wide range of military and law enforcement applications. With a proven track record of serving government and military clients in North America, the European Union, and Ukraine, Roshel combines engineering expertise, industrial capabilities, and an international presence. This acquisition will combine these strengths with Centigon\u2019s expertise and manufacturing facilities, offering military and government customers worldwide an even more diversified range of vehicles and protection solutions.<\/p>\n\n\n\n

This cross-border transaction involved numerous regulatory and governance issues, including several foreign investment control procedures in France, Ireland, and Belgium.<\/p>\n\n\n\n

The transaction strengthens the industrial bridge between Canada and Europe<\/strong><\/p>\n\n\n\n

Canada is the first non-European country to have concluded a participation agreement under the Security Action for Europe (SAFE), the European Union\u2019s instrument for common defense procurement among its Member States. This agreement gives Canadian companies access to European defense procurement on nearly the same footing as European companies.<\/p>\n\n\n\n

For Roshel and Centigon, combining Canadian manufacturing with an established French industrial base creates a platform for joint development, coordinated production, and access to eligible SAFE-supported procurement opportunities. The group aims to translate closer Canada\u2013Europe cooperation into tangible industrial capacity, stronger supply chains, shared engineering capabilities, and faster customer support throughout the life cycle of its vehicles.<\/p>\n\n\n\n

Cornet Vincent S\u00e9gurel<\/strong> advised Axle Holdings and the Centigon Group throughout the transaction on corporate and M&A matters. The team was led by partner Adrien Debr\u00e9, assisted by associates Aur\u00e9lien Babin and Elisa Simon. The team advised on the structuring of the transaction, negotiated and documented the sale, coordinated regulatory matters, and executed the transaction. The firm also advised the seller on tax and employment law matters and IP matters, handled respectively by Alfred Lortat-Jacob, Magali Bussac and Fran\u00e7ois Herpe.<\/p>\n\n\n\n

For this cross-border transaction, Cornet Vincent S\u00e9gurel acted as lead counsel, coordinating a cross-border team comprising the seller\u2019s various legal advisers in the relevant jurisdictions, notably Flynn O\u2019Driscoll<\/strong> in Ireland, Fangda Partners<\/strong> in China, and Compliance Assurance<\/strong> in the United States on ITAR-related matters.
