Cornet Vincent Ségurel acts on a regular basis in connection with capital investment transactions : - early-stage capital (seed or love money), venture capital, capital development, or turn-around investment, - transactions involving both equity and mezzanine debt.
We assist our clients both with the legal and tax structuring of the proposed transaction and negotiation of the contractual documents (investment agreements, shareholders’ agreement, organization of vehicles and structures, representations and warranties, issuance of securities), in implementing a management package, in obtaining administrative and governmental approvals and permits, or in structuring financing.
We assist private equity funds in connection with their organisation and during their existence.
We also handle capital markets transactions on behalf of the issuers, banks or investors and will accompany clients throughout the process of raising capital.
Our clients are principally French or foreign investment funds, publicly-traded and privately-held companies, and institutional or family shareholders.
We also work together with financial institutions providing financing or refinancing of capital investment transactions.
